Public Offer

The official offer to provide our digital memorial services.

Effective from: September 01, 2026

1. General Provisions

1.1 About the Agreement

This Public Offer constitutes an official offer by MIR09 LLC (“Company”), the operator of the digital memorial platform available at rip.gd (“Platform”), to any individual or legal entity (“User”, “Customer”, “You”) to enter into an agreement for the provision of digital memorial services.

By registering on the Platform, creating a memorial, or topping up an internal balance, you accept the terms of this Public Offer in full, without any reservations or exceptions.

1.2 Age Requirement

The Service is strictly intended for individuals who are at least eighteen (18) years of age or the age of legal majority in their jurisdiction. By registering and using the Service, you represent and warrant that you meet this age requirement.

2. Service Description

2.1 Digital Service

The Company provides digital memorial services through the website rip.gd, including:

  • Creation and hosting of digital memorial pages.
  • Storage for photos, videos, links, and PDF documents.
  • Interactive features (comments, virtual gifts, family ties system).
  • Specialized services: Digital Testament, GPS coordinates, and DNA preservation. DNA material is accepted for storage only under a separate written agreement signed with the User, which describes this unique service in full.
  • Internal wallet system used for payments across all platform services, features, and upgrades.

2.2 DNA Preservation Service

The Company acts solely as a digital custodian and intermediary for physical DNA storage. Biological samples are transferred to and stored at a certified independent partner laboratory under a confidential storage model. The Company does not conduct medical, genetic, or sequencing analysis, and is not a healthcare entity. DNA Preservation is provided only under a separate written DNA Preservation Agreement, which governs the physical sample, laboratory storage, handling, destruction, and other terms of that service.

2.3 DNA Container Cancellation & Replacement Policy

If the DNA storage service is canceled by the User, or if the memorial is terminated for any reason, the physical DNA container will be handled in accordance with the separate DNA Preservation Agreement and the partner laboratory's applicable procedures. Unless otherwise expressly provided in that agreement, the physical DNA container is not returned to the User and may be securely disposed of and destroyed at the partner laboratory in accordance with applicable bio-waste protocols. Only one (1) DNA collection kit is issued, and one (1) sample is processed per memorial unless otherwise agreed in writing.

Infinity Plan — Permanent Duration: “Permanent” means that the memorial is intended to remain available indefinitely, without a scheduled expiration date, for as long as the Platform continues to operate and subject to this Public Offer, applicable law, and the terms of the Infinity plan. “Permanent” does not constitute a guarantee that the Platform, Company, or third-party infrastructure will exist forever or until the end of the world or the universe.

3.2 Additional Services (Microtransactions)

Users can use their internal balance for:

  • Pin to Top: $2 per action (updates the memorial's priority).
  • Color Highlighting: $5 (24 hours) - $300 (1 year).
  • Virtual Gifts: $5 (24 hours) - $300 (1 year).
  • Background Music: $0 (free for Legacy/Infinity).
  • Custom Page Background: $0 (free for Legacy/Infinity).
  • QR Plaque Production: from $20 per piece, depending on material - see the Prices page for current options.
  • Photo Processing & Restoration: $10.00 (1 hour).
  • Document Creation (PDF): $10.00 (1 hour).
  • Additional Work/Service: $10.00–$20.00 (1 hour).
  • Memorial Video & Slideshow: Price depends on the scope and volume of work and is calculated individually.
  • Video Upload Over Limit: $50.00 per GB or fraction thereof.

Please note: The prices listed above for custom tasks (such as photo restoration, document creation, and additional work) are indicative. The final cost will be calculated individually and may vary depending on the specific complexity and volume of the requested work. No additional charge for custom work will be deducted from the User's internal balance without the User's approval of the quoted price.

4. Payment Terms

4.1 Internal Wallet

Payments for services are made through an internal wallet. You can top up your balance using PayPal or major credit and debit cards. Fees for paid plans and services are deducted only after the applicable service has been successfully activated, published, or otherwise delivered, as applicable.

Any unused cash balance remaining in the internal wallet may be refunded to the User upon closure of the User's account, subject to applicable payment-processing, banking, currency-conversion, and intermediary-bank fees. Refunds will generally be made to the original payment method where reasonably possible. Promotional credits, bonus balances, or other non-cash credits are not refundable unless otherwise expressly stated.

4.2 Payment Security and Compliance

All external transactions are processed through secure payment gateways. We do not store your credit card or payment account information on our servers.

The use of payment cards without authorization from the cardholder, as well as initiating fraudulent chargebacks or payment reversals, is strictly prohibited and constitutes a violation of these Terms. Any such activity may result in immediate suspension or termination of your account.

5. Refund Policy

5.1 Digital Services

Due to the digital nature of our services, refunds for a successfully delivered and published memorial are generally not available once the applicable funds have been deducted from the internal balance, except where a refund is required by applicable law or where the transaction involved an unauthorized charge, duplicate charge, billing error, or the Company failed to provide the purchased service.

5.2 Refund Requests

If you have made a mistake during a balance top-up, encountered a technical error, or believe that an unauthorized, duplicate, or incorrect charge has occurred, please contact us via the Contact Form. Each case will be reviewed individually within 14 business days.

6. Service Delivery

6.1 Moderation and Activation

  • New Users: Memorials created by new users are subject to mandatory moderation by the platform administration.
  • Status: Fees for Legacy and Infinity plans are deducted only after successful moderation and publication. Memorials in “Reserve” status do not trigger a charge.

7. User Obligations

7.1 By Using Our Service, You Agree To

  • Provide accurate information about the deceased.
  • Not use the platform for spam, insults, or political propaganda.
  • Respect intellectual property rights for uploaded images and documents.
  • Maintain the security of your account credentials.

7.2 User Content and Intellectual Property

You retain all ownership rights to the content (photos, videos, text) you upload. However, by uploading content to the Platform, you grant the Company a worldwide, non-exclusive, royalty-free license to host, store, display, and technically process this content solely for the purpose of operating and providing the digital memorial service.

The Company respects intellectual property rights. If you believe that any content on the Platform infringes upon your copyright, please submit a formal takedown request via our Contact Form.

8. Company Obligations

8.1 We Commit To

  • Provide reliable hosting according to the selected plan's duration (10, 100 years, or Permanent).
  • Protect your data as per our Privacy Policy.
  • Execute "Digital Testament" instructions as specified in your profile settings.

8.2 Digital Testament Disclaimer

The platform feature referred to as the "Digital Testament" is solely an automated digital instruction tool designed to manage your platform account and memorial visibility after a designated period of inactivity. It is NOT a legally binding "Last Will and Testament" under the laws of Massachusetts or any other probate jurisdiction. The Company acts only as a technical executor of platform settings and bears no responsibility for legal, financial, or inheritance disputes arising from these digital instructions.

9. Liability and Disclaimers

9.1 General Limits

The Company is not liable for data loss caused by third-party services, third-party content providers, payment processors, or user actions. In cases of Force Majeure (including war, cyberattacks, natural disasters, widespread infrastructure failures, or other events beyond the Company's reasonable control), service availability may be temporarily limited.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MIR09 LLC, ITS AFFILIATES, OR PARTNERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE COMPANY EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100.00) OR THE AMOUNT YOU PAID THE COMPANY IN THE PAST TWELVE (12) MONTHS FOR THE SERVICES GIVING RISE TO THE CLAIM. Nothing in this Agreement excludes or limits any liability or consumer right that cannot lawfully be excluded or limited under applicable law.

10. Expiration and Archiving

Upon expiration of a Basic or Legacy term:

  • The memorial may be hidden from search and public view.
  • The User will be notified via email to renew the status.
  • Data Retention and Manual Deletion: Active memorials created under long-term plans (such as Legacy or Infinity) will remain active for their stated duration and will never be deleted due to User inactivity. If a User explicitly initiates the deletion of a memorial through their account, the memorial enters a 180-day retention period. During these 180 days, the memorial data is held securely on the Company's servers but remains inaccessible to the public. Upon expiration of the 180-day period, memorial content and associated data that the Company is not legally required or otherwise permitted to retain will be permanently deleted in accordance with the Company's Data Deletion Policy.

11. Suspension and Termination

The Company may suspend or terminate an account, memorial, or access to any part of the Service if the User materially violates this Public Offer, applicable law, intellectual property rights, payment rules, or platform safety requirements, or engages in fraud, unauthorized payment activity, abuse, or other conduct that may materially harm the Platform or other users. Where reasonably practicable, the Company may provide notice and an opportunity to remedy the violation. Suspension or termination does not waive any payment obligations or rights that accrued before termination.

Upon account closure or termination, any refundable unused cash balance will be handled in accordance with Section 4.1 and applicable law. Digital memorial content will be handled in accordance with Section 10 and the Data Deletion Policy. DNA material will be handled in accordance with the separate DNA Preservation Agreement.

12. Governing Law and Dispute Resolution

This Public Offer shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict-of-law principles.

Before initiating formal legal proceedings, Users are encouraged to contact the Company through the Contact Form and attempt to resolve the dispute through good-faith communication. The Company aims to respond to disputes within 72 hours, although this response target does not constitute a legal deadline.
